1. Acceptance of these Terms

By creating an account or otherwise accessing or using Everythings ("Everythings", "we", "us", or "our") on the web or mobile, you agree to these Terms & Conditions ("Terms"). If you do not agree to these Terms, you must not use the service.

2. Description of the service

Everythings is a collaborative workspace application that lets users organize notes, ideas, projects, lists, files, and other content into hierarchical "things" inside shareable workspaces, react with marks (emoji reactions), leave comments, and collaborate with other users. Features of the service may change or evolve over time.

3. Eligibility

You must be at least 13 years old to use Everythings. If the laws of the country where you live set a higher minimum age for using an online service or for consenting to the processing of your personal information, you must be at least that age.

By using Everythings you represent that you meet this requirement and that you are not prohibited from using the service under applicable law. If you use Everythings on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

4. Accounts and account security

You may create an account using an email address and password or through a supported third-party sign-in service such as Google or Sign in with Apple.

You are responsible for:

  • Providing accurate account information;
  • Maintaining the confidentiality and security of your account credentials;
  • Taking reasonable steps to prevent unauthorized access to your account; and
  • Activity conducted through your account, except to the extent resulting from circumstances for which you are not legally responsible.

You must notify us promptly at support@everythings.app if you know or reasonably suspect that your account has been accessed or used without authorization.

5. Plans, pricing, and billing

Everythings offers a free plan and a paid subscription plan. The plans, their current prices, and the limits that apply to each are described on our pricing page. Prices are stated in the currency shown at checkout and exclude any applicable taxes, which may be added.

To buy a paid plan you must be at least 18 years old, or the age of majority where you live, and able to enter into a binding contract. If you are younger than that, a parent or legal guardian must make the purchase, accept these Terms on your behalf, and remain responsible for the charges.

Subscriptions and renewal

A paid plan is a subscription that renews automatically for successive billing periods until it is cancelled. By subscribing, you authorize us or the applicable payment provider to charge your selected payment method at the start of each billing period at the then-current price.

Payments made on the web are processed by our payment processor. Purchases made inside the mobile apps are processed as in-app purchases through the Apple App Store or Google Play and are also subject to that store's terms; those subscriptions are managed, and must be cancelled, through your account with that store.

Cancellation and refunds

You may cancel a paid plan at any time. Cancellation takes effect at the end of the billing period you have already paid for, and paid features remain available until then. Except where required by applicable law, payments are not refundable and we do not provide refunds or credits for partial billing periods. Refund requests for in-app purchases are handled by the applicable app store under its own policies.

Changes to plans and prices

We may change our prices, plans, and the features and limits included in them. Where a change affects a subscription you are paying for, we will give you reasonable advance notice and the change will apply from your next billing period. If you do not agree to a change, your remedy is to cancel before it takes effect. We may modify or discontinue the free plan.

Service limits

Each plan carries published limits — for example on the number of workspaces you can own, members per workspace, things per workspace, comments, marks, upload storage, and how much you can write in a day. These limits are enforced by the service, and an action that would exceed a limit will be refused. Limits are set to keep the service reliable and fairly priced, and may be adjusted over time.

If your plan changes, or the content in a workspace otherwise exceeds the limits that apply to it, that workspace may become read-only until it is brought back within the limits or the workspace owner upgrades. A change of plan does not delete Your Content.

6. Acceptable use

You must not use Everythings to:

  • Engage in unlawful, fraudulent, abusive, threatening, or harmful activity;
  • Create, upload, store, or share content that violates applicable law or another person's rights;
  • Upload, store, use, or disclose personal information or confidential information unless you have all rights, permissions, consents, and other lawful authority necessary to do so;
  • Violate another person's intellectual property, privacy, confidentiality, contractual, or other legal rights;
  • Spam, harass, impersonate, or mislead another person, including through workspace invitations;
  • Attempt to bypass security or access controls or gain unauthorized access to another user's account, workspace, content, or information;
  • Circumvent or attempt to circumvent plan limits, usage limits, or billing, including by creating multiple accounts for that purpose;
  • Introduce malware or other harmful code;
  • Interfere with or disrupt the integrity, security, availability, or performance of the service; or
  • Use the service in a manner that creates an unreasonable security, legal, or operational risk to Everythings or other users.

We do not review or approve User Content before it is uploaded or shared. The availability of functionality that enables content to be uploaded, stored, or shared does not mean that Everythings authorizes, endorses, or approves that content or the user's collection, use, or disclosure of it.

We may investigate suspected violations and may restrict or suspend access to the service where reasonably necessary to protect Everythings, our users, or others.

7. Your Content

You retain ownership of the workspaces, things, comments, files, images, and other content you create, upload, store, or share through Everythings ("Your Content").

By submitting Your Content to Everythings, you grant us a limited, non-exclusive licence to host, store, reproduce, process, transmit, and display Your Content only as reasonably necessary to provide, operate, maintain, secure, and support the service, including making Your Content available to users according to the workspace permissions and sharing settings you select.

Your responsibility for Your Content

You are solely responsible for Your Content and for ensuring that you have all rights, permissions, consents, and other lawful authority necessary to create, upload, store, use, disclose, and share Your Content through Everythings. This includes responsibility for any personal information, confidential information, intellectual property, or other information belonging to or relating to another person or organization that you choose to include in Your Content.

You must not upload, store, use, disclose, or share information through Everythings if doing so would violate applicable law, a contractual or confidentiality obligation, or another person's rights.

Everythings does not assume responsibility for determining whether you have the legal authority, consent, or permission required to upload, store, use, disclose, or share Your Content.

Sharing and workspace permissions

You are responsible for selecting the users you invite to your workspaces, managing access permissions, and determining what content you make available to them. When you share a workspace or other content with another user, that user may be able to access, view, or interact with the information you have chosen to share, depending on the permissions and functionality of the service.

Some features let you share content by link. A thing shared by link can be opened by anyone who has that link, without signing in and without an invitation, and files and images you upload are served from links that do not themselves require sign-in. Anyone who has such a link — including someone it is forwarded to — can open the content it points to, so treat content you share this way as public. Our Privacy Policy describes this in more detail.

You should review sharing settings and recipients before sharing information, particularly where Your Content contains personal, confidential, or sensitive information.

8. Sensitive information

Everythings is a general-purpose collaboration service and is not designed or represented as a specialized system for storing or processing information subject to heightened legal, regulatory, professional, or security requirements unless we expressly agree otherwise.

You are responsible for determining whether Everythings is appropriate for the nature and sensitivity of the information you intend to upload, store, or share and for complying with any legal, regulatory, contractual, or professional requirements applicable to that information.

We may prohibit or restrict particular categories of information where reasonably necessary for security, legal, regulatory, or operational reasons.

9. AI features and connected applications

Everythings offers optional AI and voice features. To use them you supply your own API key from a third-party AI provider. You are responsible for keeping that key secure, for complying with that provider's terms, and for any charges the provider bills you. These features are unavailable unless you add a key.

When you use these features, the content of your request — which can include the text of your things, workspace names, and related User Content — is sent to the AI provider you selected so that it can generate a response. That provider handles the data under its own terms and privacy policy. You must not use these features with content you are not permitted to disclose to that provider.

You may also authorize external applications and AI assistants to connect to your Everythings account. An application you authorize can read — and, if you grant write access, create, modify, and delete — the workspaces and things in your account until you revoke that authorization. You are responsible for the applications you authorize and for what they do with your account.

AI output may be inaccurate, incomplete, or unsuitable for your purposes. Review it before relying on it, and do not rely on it as professional advice.

10. Our intellectual property

Everythings, including its software, design, branding, logos, and other proprietary materials, is owned by us or our licensors and is protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use Everythings for its intended purposes. No other rights are granted except as expressly stated in these Terms.

11. Third-party services and app stores

Everythings may rely on or integrate with third-party services, including authentication, hosting, storage, database, payment, and communication providers. Your use of certain third-party services may also be subject to the applicable provider's terms and privacy practices. We are not responsible for third-party products or services that are outside our reasonable control.

Our mobile apps are distributed through the Apple App Store and Google Play, and your use of an app you obtain from a store is also subject to that store's terms.

For apps obtained from the Apple App Store: these Terms are between you and Everythings only, and not with Apple. Apple is not responsible for the app or its content and has no obligation to provide maintenance or support for it. Apple is not responsible for addressing any claim you or a third party may have relating to the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

12. Suspension and termination

You may stop using Everythings at any time and may delete your account using the account deletion functionality described on our account deletion page and in our Privacy Policy. Deleting your account does not by itself cancel a subscription purchased through an app store; cancel that subscription through your account with the store.

We may suspend, restrict, or terminate your access to Everythings if:

  • You materially violate these Terms;
  • Your use creates a material security, legal, or operational risk;
  • We are required to do so by law; or
  • Suspension is reasonably necessary to protect Everythings, our users, or others.

Where reasonably practicable, we will take into account the nature and seriousness of the issue before suspending or terminating an account.

When your account is terminated or deleted, you lose access to the service and to Your Content held in it, and Your Content is handled as described in our Privacy Policy. Content you shared into a workspace owned by another user may remain accessible to that workspace. Export or copy anything you want to keep before deleting your account.

13. Disclaimers

To the fullest extent permitted by applicable law, Everythings is provided "as is" and "as available."

We do not guarantee that the service will be uninterrupted, error-free, completely secure, or available at all times, or that content will never be lost or corrupted.

You are responsible for determining whether the service is appropriate for your intended use and for maintaining copies or backups of important information where appropriate.

Nothing in these Terms excludes warranties or other rights that cannot lawfully be excluded.

14. Limitation of liability

To the fullest extent permitted by applicable law, Everythings and its operators will not be liable for indirect, incidental, special, exemplary, or consequential damages, or for loss of profits, revenues, business opportunities, goodwill, or data, arising from or relating to your use of the service.

To the fullest extent permitted by applicable law, Everythings will not be responsible for losses or claims resulting from User Content uploaded, stored, disclosed, or shared by a user in violation of these Terms or applicable law, or from a user's decision to grant another person access to User Content, except to the extent the loss or claim results from an act or omission for which Everythings is legally responsible.

To the fullest extent permitted by applicable law, our aggregate liability arising out of or relating to the service or these Terms will not exceed CAD $100.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

15. Claims arising from Your Content

To the extent permitted by applicable law, you are responsible for claims, losses, liabilities, and reasonable costs incurred by Everythings resulting from Your Content or your material violation of these Terms, including claims that Your Content infringes or violates another person's privacy, confidentiality, intellectual property, or other legal rights.

16. Privacy

Our collection, use, disclosure, and handling of personal information is described in our Privacy Policy.

If you upload or share personal information about another individual through Everythings, your responsibilities concerning that information are also governed by sections 6, 7, and 8 of these Terms in addition to applicable law.

17. Changes to the service and these Terms

We may modify the service and update these Terms from time to time. The updated Terms will indicate the date on which they were last revised. Your continued use of Everythings after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by applicable law.

18. Governing law

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles. Nothing in this section limits any rights you may have under mandatory consumer protection laws that apply to you.

19. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

Our failure to enforce a provision of these Terms does not constitute a waiver of that provision.

These Terms, together with our Privacy Policy and any additional terms expressly applicable to a particular service or feature, constitute the agreement between you and Everythings regarding your use of the service.
